Thrive Holdings, a company in which OpenAI is among the investors, has agreed to acquire US security and smart home provider ADT. Under the all-cash deal, ADT shareholders will receive $10 per share, for a total of about $7.6 billion.

The offer is roughly a 35% premium to ADT's October 28 closing price. ADT shares rose about 34% in morning trading after the announcement. The company provides security monitoring, home automation and connected-device services to homes and small businesses across the United States, and has a history of more than 150 years.

Why Thrive wants ADT

Thrive Holdings emerged from Thrive Capital, founded by Joshua Kushner. Its strategy is to buy established companies and improve them with technology and artificial intelligence. OpenAI supplies AI technology and engineering support to Thrive companies under a partnership launched in December 2025.

Thrive Holdings already owns more than 75 businesses in areas linked to accounting, IT services and construction. ADT will form the base of its smart home security business, and Thrive engineers will work with ADT teams to improve products and customer service. A source close to the deal told Reuters that reducing false alarms and spotting equipment problems earlier are among the opportunities Thrive sees.

ADT said its data protection and privacy policies will not change and that no new data will be shared without customer consent. Financing commitments come from funds managed by affiliates of Apollo Global Management.

What happens next

The transaction needs approval from shareholders and US competition authorities and is expected to close in the first quarter of 2027. The agreement lets ADT solicit alternative offers until November 28. ADT will keep operating independently until closing, after which its shares will be delisted from the New York Stock Exchange.
