T-Technologies Plans Offer to Buy Up to 100% of Cian Shares

T-Technologies plans to buy between 50% and 100% of the shares of Cian, one of Russia's largest online real estate platforms, the company said. The offer price is 993.05 rubles per share, 29.3% above the closing price on November 5.

The group has already submitted a voluntary offer to shareholders to the Bank of Russia. The regulator will review it first, after which it will be sent to Cian. The company's board of directors will then prepare its recommendations, and only after that will the offer be presented to shareholders.

Financing and timeline

T-Technologies intends to fund the deal without issuing additional shares of its own. It expects to close the transaction in the first quarter of 2027, once the necessary procedures are completed and approvals are received.

Cian keeps its brand and team

After closing, Cian will keep operating independently as part of the T-Technologies group. The companies plan to continue developing the digital platform for buying, selling and renting property. T-Technologies president Stanislav Bliznyuk said Cian would remain "within the overall strategy of the group in the real estate segment", keep its brand and run as a platform open to partnerships under its current management team.

Cian started in 2001 as a database of apartment rental listings in Moscow and now operates across Russia. According to the company, its average monthly audience in 2025 was 20.2 million unique users, with an average of 2.1 million active listings available each day.

The target's financials are growing. In the first half of 2026, Cian's net profit exceeded 2 billion rubles, twice the level of a year earlier, while revenue rose 20.5% to 8.3 billion rubles.

The deal would give T-Technologies a significant position in online real estate services. The next step is the Bank of Russia's review of the offer.
