T-Technologies has submitted a voluntary offer to the Bank of Russia to buy shares in Cian, the online real estate services platform. The offer covers the purchase of at least 50% of Cian's outstanding ordinary shares. The company plans to close the deal in the first quarter of 2027, once the required procedures and approvals are completed.

Terms of the offer

The offer is addressed to all shareholders, including minority holders, and allows for the purchase of up to 100% of Cian's shares at 993.05 rubles per share. That price is a 29.3% premium to Cian's market quotes at the close of main trading on 5 November 2026. T-Technologies does not intend to issue additional shares to finance the transaction.

Stanislav Bliznyuk, president of T-Technologies, said the premium is justified by Cian's accelerating revenue growth, high profitability and the potential for synergies. After review by the Bank of Russia, the offer will be sent to Cian. Shareholders will receive it once the company's board of directors has prepared its recommendations.

What happens to Cian

According to Bliznyuk, if the deal closes, Cian will keep its brand and current management team and continue to operate independently within the group's real estate strategy. The platform will remain open to partnerships.

The group aims to build, together with Cian, a full-cycle digital platform for property transactions that serves buyers, sellers, tenants, banks, developers and realtors. T-Technologies already follows a similar approach in the automotive segment, where it is developing an ecosystem around Auto.ru, which it bought from Yandex in 2026.

The next step is the Bank of Russia's review and the Cian board's recommendation to shareholders, which will determine how the offer proceeds toward the planned 2027 closing.
